The rules for using this Site and working with Lucid Sites Studio. Written in plain English — because you shouldn't need a lawyer to understand what you're agreeing to.
1. Acceptance of Terms
By accessing or using the Lucid Sites Studio website at lucidsitesstudio.com (the “Site”), you agree to these Terms of Use. If you do not agree, please stop using the Site.
These Terms apply to all visitors. Separate project agreements govern the delivery of design and development services.
2. About the Site
Lucid Sites Studio (the “Studio”) is operated by Adrian Simpson as a sole proprietorship providing custom web design, development, and maintenance services to small businesses.
The Site is informational. Published descriptions, prices, and timelines are references, not binding offers, and may change. No engagement begins without a separate written agreement signed by both parties.
3. Intellectual Property
Site Content
Text, graphics, photography, design work, code, logos, and the Lucid Sites Studio brand are owned by Adrian Simpson or licensed to the Studio and protected by applicable law. You may not reproduce or distribute Site content without written permission.
Portfolio Work
Client work is displayed with consent. After full payment, project deliverables transfer to the client. The Studio may display completed work in its portfolio unless otherwise agreed in writing.
Your Content
Materials you provide remain your intellectual property. You grant the Studio a limited license to use them solely to complete your project.
4. Prohibited Conduct
You agree not to:
- Use the Site unlawfully
- Attempt unauthorized access to Site infrastructure
- Submit fraudulent information
- Transmit spam, phishing, malware, or harmful code
- Scrape or reproduce Site content without permission
- Interfere with normal Site operation
- Impersonate another person or entity
5. Services & Project Agreements
Services are provided under a separate written agreement or statement of work that defines:
- Scope, deliverables, and timeline
- Total price and payment schedule
- Revision and change-order procedures
- Client responsibilities and approvals
No project begins until both parties sign and the applicable deposit is received. Published pricing may vary with scope.
6. Payment
Individual project agreements control payment terms. Standard practice includes:
- A 50% deposit before work begins
- The remaining balance before final delivery and launch
- Payment within the invoice timeframe
The Studio may pause overdue work. Ownership transfers only after full payment. Prices are in US Dollars. Deposits are nonrefundable after work begins unless agreed otherwise in writing.
7. The Anti-Ghost Guarantee
The Studio commits to responding to client communications within one business day, Monday through Friday excluding major US holidays, during inquiry, active projects, and included post-launch support.
This operational commitment is not a contractual warranty. Emergencies, force majeure, or circumstances beyond reasonable control may cause delays.
8. Disclaimer of Warranties
The Site and its content are provided on an “as is” and “as available” basis without warranties. The Studio does not guarantee that content is complete or error-free, that published prices or timelines remain current, or that past client results will be repeated.
9. Limitation of Liability
To the fullest extent permitted by law, Lucid Sites Studio and Adrian Simpson are not liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Site, reliance on its content, unauthorized data access, or third-party conduct.
Total aggregate liability for claims arising from these Terms or Site use will not exceed $100 USD.
10. Third-Party Links
The Site may link to client sites, social platforms, and resources. These links are provided for convenience. The Studio does not control or accept responsibility for third-party content, policies, or practices.
11. Governing Law
These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles. Unresolved disputes are subject to courts located in Williamson County, Tennessee.
12. Changes to These Terms
The Studio may update these Terms at any time. Changes take effect when posted with a revised “Last Updated” date. Material changes affecting active projects will be communicated directly.
